Who these terms are between

Justin Ryan, a sole proprietor doing business as Backroom OC in Orange County, California ("I"), and you or your business ("you").

How projects work

Work is fixed-fee. Before I start, I send a written quote or statement of work (SOW) describing the deliverables, price, and payment schedule. The quote or SOW you accept is the agreement for that project. Anything outside it gets a new quote. Prices and offerings shown on this website are descriptions, not binding offers, until a written quote is accepted.

Payment

Payment terms are set out in your quote or SOW. If you cancel mid-project, you pay for work completed up to that point.

No guarantees of results

I build websites and automations carefully, but I do not guarantee search rankings, traffic, leads, sales, revenue, or time savings. Examples on this site describe past projects and are not promises of future results. Search engines, AI tools, and third-party services change outside my control.

Ownership

Once you have paid in full, you own the deliverables made for you, including the code, content, and accounts set up in your name. I keep ownership of general know-how, and of tools and code I had before the project or reuse across clients, and you get a license to use any of it as part of your deliverables.

Your responsibilities

You are responsible for the accuracy of the information, content, and access you give me, and for having the right to use any material you supply.

Liability

To the extent California law allows, my total liability for any claim related to a project is limited to the fees you paid me for that project, and I am not liable for indirect or consequential losses such as lost profits.

Do not misuse the contact form or attempt to disrupt the site. How I handle your information is described in the Privacy Policy.

Governing law

These terms are governed by the laws of the State of California. Disputes will be handled in the state or federal courts located in Orange County, California.
